DISCLAIMER/MEMBERSHIP AGREEMENT

iCommercialFinancing.com takes the commitment to our Funding Source Members and to the capital searchers seriously.  Prospective Funding Source Members should carefully read and understand the terms of Membership prior to applying of which all membership is free.

I Agree. Continue Application For Membership

1.0 Member Pledge
iCommercialFinancing.com  Members acknowledge the obligation to the Membership at large, the industry, and the business community to maintain a high level of ethics and professional service, and to uphold all applicable Federal and State laws or regulations.

2.0 Member Acceptance
Members hereby agree to accept, abide and adhere to this Membership Agreement, and further agree that violation thereof is grounds for suspension or termination of Membership.  iCommercialFinancing.com  acting in the protection of the Membership at large, the industry, or the business community.

3.0 Member Indemnification
Members agree to indemnify and hold iCommercialFinancing.com  its' shareholders, directors, officers, employees and representatives harmless against any expenses, liability, damages, claim, suit or proceeding, threatened or brought against iCommercialFinancing.com  which arises from or relates to the breach or alleged breach by the Member of this agreement.

4.0 Standards of Conduct, Members shall:

• Conduct themselves with integrity, dignity, and encourage such conduct by others in the industry.
• Encourage practices and conduct activities in a manner which reflects credit on the industry.
• Act with competence and strive to maintain and improve competence and that of others in the industry.

5.0 Member Commitment to the iCF Capital Searcher, Members shall:

• Disclose all relevant information as to the terms and conditions of the transaction which may affect the Capital Searcher's decision.
• Treat in a fiduciary capacity all funds and information received from the Capital Searcher.
• Not make representations to a iCF Capital Searcher beyond the express control of the Member.

6.0 Member Commitment to Other Members, Members shall:

• Have honesty, integrity and forthrightness in all dealings.
• Not knowingly misrepresent facts concerning any aspect of a transaction or Capital Searcher.

7.0 Enforcement
iCommercialFinancing.com  enforces the Membership Agreement by receiving and investigating written complaints. iCommercialFinancing.com  desires the respect and confidence of the Membership at large, the industry, and the business community and to that end Members shall maintain the highest possible professional and ethical conduct.

An investigation of a violation of the iCommercialFinancing.com  Membership Agreement may only be initiated by the filing of a written complaint with iCommercialFinancing.com . Such complaints may be filed at Legal@iCommercialFinancing.com .

Complaints must be presented in writing. If iCommercialFinancing.com determines that the Complaint and supporting documents allege facts which, if true, would constitute a violation of law or regulation, iCommercialFinancing.com shall notify the proper authorities. At its sole discretion iCommercialFinancing.com may suspend the Members active membership pending resolution of any such complaint. The Complainant and Member will be notified of the findings and of any imposed suspension. Members agree that upon such suspension, Membership will not be reinstated until such time as iCommercialFinancing.com is provided with written evidence of favorable resolution between the Complainant, the Member, and any involved legal or regulatory agency.

8.0 Limitation of Liability
IN NO EVENT SHALL  iCOMMERCIALFINANCING.COM BE LIABLE FOR ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL, OR INDIRECT DAMAGES, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY ARISING FROM THIS MEMBERSHIP AGREEMENT, WHETHER OR NOT ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING ANY FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.

9.0 Compliance with Laws
Members agree that it is their sole responsibility to be aware of and comply with all applicable international, federal, state, and local treaties, conventions, laws, rules, regulations, court orders, licensing requirements, and governmental or regulatory agency orders.

10.0 Independent Contractors
iCommercialFinancing.com and the Member are independent contractors. Neither is the representative of the other. Neither shall have any right, power or authority to enter into any agreement for, or on behalf of, or incur any obligation or liability of, or to otherwise bind, the other.

11.0 Brokers Membership Referral Fee Commitment, Members agree:

• To pay iCommercialFinancing.com a referral fee of one-half point (0.5%) of the total amount funded on behalf of the iCF Capital Searcher.
• If it comes to the attention of iCommercialFinancing.com that a Member Broker did willfully and knowingly withhold a referral fee payable to iCommercialFinancing.com, the Membership will be revoked and the Member will be ineligible for reactivation until a 100% penalty is paid.
